Founding Partner Agreement
Effective Date: June 9, 2026
This Founding Partner Agreement ("Agreement") is between Real Operations, LLC ("Company") and the individual or entity applying to become a Founding Partner ("Partner").
1. Independent Contractor
Partner is an independent contractor, not an employee or agent of the Company. Partner has no authority to bind the Company to any contract or obligation.
2. Partner Responsibilities
- Promote TrackItWeekly honestly and accurately to your network
- Comply with all applicable laws, including FTC disclosure requirements for affiliate relationships
- Disclose your affiliate relationship when promoting TrackItWeekly in any public forum
- Not make representations about the Service that conflict with official Company materials
3. FTC Disclosure
When promoting TrackItWeekly publicly (social media, email, in person), you must clearly disclose that you receive compensation for referrals. Example: "I'm a paid affiliate of TrackItWeekly."
4. Referral Attribution & Qualification
- Referrals must sign up via your unique referral link
- A referral qualifies after 30 days of active paid subscription
- Revenue share is calculated on net revenue (after refunds and chargebacks)
- Attribution window: 90 days from first click on your link
5. Revenue Share
- 10% of net subscription revenue from referred customers for the first 12 months of their subscription
- 15% after Partner has 10 or more active referred customers
- Paid monthly, approximately 30 days after the close of each calendar month
- Minimum payout threshold: $25. Amounts below threshold roll over to the next month.
6. Co-Marketing Rights
Partner may use the TrackItWeekly name and approved brand assets in promotional materials, subject to brand guidelines. The Company may feature Partner's name and logo in co-marketing materials with Partner's consent.
7. No Exclusivity
This Agreement does not grant Partner exclusivity in any market, vertical, or geography unless explicitly stated in a separate written addendum signed by both parties.
8. Confidentiality
Partner agrees to keep confidential any non-public information shared by the Company, including pricing strategies, product roadmaps, and customer data.
9. Liability Cap
The Company's total liability to Partner shall not exceed the total revenue share paid to Partner in the 3 months preceding any claim.
10. Indemnification
Partner agrees to indemnify and hold harmless the Company from claims arising from Partner's promotional activities, misrepresentations, or violations of this Agreement.
11. Termination
Either party may terminate this Agreement with 30 days' written notice. The Company may terminate immediately for cause (fraud, misrepresentation, violation of FTC rules). Upon termination, earned but unpaid revenue share will be paid within 60 days.
12. Governing Law
This Agreement is governed by the laws of the state in which Real Operations, LLC is registered.
